TERMS OF USE SEC Stock Signals Last updated: 19 September 2026 These Terms of Use (“Terms”) govern access to and use of SEC Stock Signals, including the Muse connector, the public study pages, and related APIs (together, the “Service”). By connecting the connector in Muse, visiting the Service, or using the API, you agree to these Terms. If you do not agree, do not connect or use the Service. 1. Company Legal name: SEC Stock Signals Operator: Sean Morgan Website: https://secstocksignals.agentstructure.ai Contact: sean@agentstructure.ai Support: support@agentstructure.ai SEC Stock Signals is a retrieval product: a Muse connector that reports historical statistics from a public SEC 8-K event study. 2. The Service SEC Stock Signals lets a user ask Muse questions such as: - What does the study conclude about 8-K underreaction? - Show integrity tests for the event clock - How did a sample ticker’s 8-Ks trade after SEC acceptance? - Statistics for a named 8-K item family (for example Item 5.02 or Item 4.02) The Service returns public event-study statistics. It does not place orders, send messages, write to other systems, or change a user’s brokerage or bank accounts. Muse is a product of Meta. Muse’s terms and privacy policy also apply to your use of Muse. Stripe’s terms apply to Stripe Link checkouts. 3. Not investment advice; no broker or adviser THE SERVICE IS FOR INFORMATION ONLY. SEC Stock Signals is not a broker-dealer, not a commodity trading advisor, and not an investment adviser. It is not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, Brazil’s CVM, or any other regulator as an adviser or broker. Nothing in the Service is: - a recommendation to buy, sell, hold, or short any security, option, crypto, or other instrument - a solicitation to transact - personalized investment, tax, or legal advice - a rating, price target, or research report of the kind produced by a registered analyst You are solely responsible for any investment decision. Past statistics are not future results. 4. Empirical limits (read this) The current study is a sample of about 300 U.S. companies, with priced Form 8-K events from 2016 through a frozen 2025 holdout. A finding that survives the holdout is not a commercial product. Information-gap / underreaction scores failed a price-path control in this sample. They must not be treated as information-specific alpha or as a “buy the gap” signal. Tiny samples (N under 30) are not results. Unknown tickers return unknown_ticker; that means the name is outside the study universe, not that the company had no filings. The Service uses SEC acceptance time, not filingDate, as public time. Session classification follows a NYSE calendar. Prices are public daily bars. Data can be late, missing, restated, or wrong. 5. Eligibility You must be old enough to form a binding contract in your place of residence (generally 18). The Service is not directed at children under 13. If you use the Service for an organization, you represent that you have authority to bind that organization. 6. Accounts and Muse connection The Service does not create its own user accounts and does not store a user identity. You connect or disconnect in Muse: Settings → Connectors, or by asking Muse to “Connect SEC Stock Signals.” Disconnecting stops new lookups. Muse may keep prior answers in its own chat history or memories under Meta’s policy. We do not share information with Muse until you connect. We do not share proactively after you connect. Muse is designed to send only the data needed for the task: a ticker symbol and/or an 8-K family or item name. 7. License and acceptable use We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service to retrieve the published statistics for your own internal or personal use, including through Muse. You may not: - use the Service to place, route, or recommend trades - present the output as a personal recommendation or as registered research - scrape, overload, or attack the API - reverse engineer except where the law allows - remove notices or misrepresent the source of the statistics - use the Service for unlawful market manipulation, fraud, or to obtain non-public information - resell raw API access without a written agreement with us - attempt to send email, post, or write through this connector (it has no such tools) 8. Payments Study verdict, integrity tests, and event-family statistics are free. Optional ticker-level lookup may be offered at USD 9 per month through Stripe Link inside Muse. You must approve the charge in Muse before payment. We never receive your card number, bank account, or Link wallet. Stripe and Muse process the payment. Prices are in U.S. dollars unless stated otherwise. Taxes may apply. Subscriptions renew until you cancel in Muse or Stripe. Refunds, if any, are handled in line with Stripe/Muse checkout rules and applicable consumer law. Email support@agentstructure.ai for billing questions. 9. Intellectual property The Service, study design, software, copy, and compilation of statistics are owned by Sean Morgan / SEC Stock Signals or our licensors. Public company filings remain subject to the SEC’s terms and copyright as applicable. Market prices remain subject to their vendors’ terms. You do not acquire ownership of third-party data by using the Service. “SEC Stock Signals” and related marks are ours. “Muse” and related marks are Meta’s. “Stripe” and “Link” are Stripe’s. 10. Third-party services The Service depends on third parties we do not control, including: - Muse / Meta - Stripe Link - SEC EDGAR - public market-price sources - hosting providers Their outages, errors, or rule changes can affect the Service. Their terms govern your use of those products. 11. Privacy Our Privacy Policy on this same website (/privacy) describes what we receive. Read it. It is part of these Terms. 12. Disclaimer of warranties THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the statistics are complete, timely, or error-free, that the API will be uninterrupted, or that any historical pattern will repeat. 13. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEAN MORGAN / SEC STOCK SIGNALS, AND THEIR CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TRADING GAINS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) USD 50. Some places do not allow certain limits. In those places, the limit is the maximum the law allows. 14. Indemnity You will defend and indemnify Sean Morgan and SEC Stock Signals against claims, damages, and costs (including reasonable legal fees) arising from your misuse of the Service, your investment decisions, or your violation of these Terms or of law. 15. Suspension and termination We may suspend or stop the Service, a tool, or a listing at any time, including if Muse rejects or removes the connector, if a data source fails, or if you misuse the Service. You may stop using it at any time by disconnecting in Muse. 16. Changes We may update these Terms. The “Last updated” date will change. Continued use after an update is acceptance of the revised Terms. If you do not agree, disconnect. 17. Governing law These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules, except that mandatory consumer protections in your country of residence still apply where they cannot be waived. Courts in São Paulo, Brazil, have exclusive jurisdiction, except that we may seek injunctive relief anywhere, and you may bring a qualifying consumer claim in your local courts where the law requires. 18. Miscellaneous These Terms are the entire agreement for the Service. If a provision is unenforceable, the rest remains. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in a sale of the product. Headings are for convenience only. 19.
